PHOTO CONTEST — OFFICIAL RULES

The photo contest (the “Contest“) is held by Torn Banner (“Organizer“) for the period detailed on the applicable Contest page (“Contest Page“).

NO PURCHASE NECESSARY. VOID WHERE PROHIBITED BY LAW. ALL APPLICABLE FEDERAL, STATE, PROVINCIAL AND LOCAL LAWS AND REGULATIONS APPLY. ENTRY IN THIS CONTEST CONSTITUTES ACCEPTANCE OF THESE CONTEST RULES.

  1. ELIGIBILITY

(a)  The Contest is open to residents worldwide, excluding North Korea, Russia, Sudan, and Syria, who have reached the age of majority in their province, state, or territory of residence at the time of entry. The Contest is void where prohibited or restricted by law.

(b)  Employees of the Organizer, its affiliates, related companies, contractors, or any company involved in the supply of prizes, and the household members of any of the above, are not eligible to participate.

(c)  The Organizer reserves the right at any time to require proof of identity and/or eligibility. Failure to provide such proof may result in disqualification.

  1. CONTEST PERIOD

The Contest begins and ends on the dates and times stated on the Contest Blog Post, Eastern Time (“ET”). No entries will be accepted after the Contest Period closes. The Organizer may cancel, terminate, or modify the Contest at its sole discretion at any time.

  1. HOW TO ENTER

To enter, a participant must visit the Contest Page during the Contest Period and submit a photo in the manner described on the Contest Page (each such photo, a “Submission”).

(a)  Limit of one (1) Submission per person, per household, and per e-mail address. In the case of multiple entries, only the first eligible Submission will be considered.

(b)  Entries that are late, illegible, incomplete, or damaged will be declared invalid.

(c)  The Organizer reserves the right to determine the suitability of entries in its sole discretion and to disqualify any entry it deems inappropriate.

  1. SUBMISSIONS AND INTELLECTUAL PROPERTY

(a)  Originality.  Submissions must be the participant’s original work. By submitting, participants warrant that (i) they are the sole owner of their Submission and have the right and authority to submit it; and (ii) the Submission does not infringe any third-party intellectual property, privacy, publicity, or other rights.

(b)  Assignment of rights.  Subject to the participant’s Submission being eligible, participants acknowledge and agree that all copyrights, patents, trade secrets, and any other intellectual property rights in the Submission are assigned exclusively to the Organizer, worldwide and in perpetuity, without limitation and without further consideration. Participants irrevocably cede, transfer, and assign to the Organizer all right, title, and interest in the Submission, including all intellectual property rights. Participants expressly waive, to the fullest extent permitted by law, any moral rights in the Submission, and waive the enforcement of any claims against the Organizer with respect to the Submission. This assignment is effective as of the date of submission.

  1. SELECTION AND PRIZE

(a)  On the date and time indicated on the Contest Page, the Organizer will open a community vote as described in the Contest Blog Post. All eligible Submissions received during the Contest Period will be included in the vitet. Eligibility is based on the criteria outlined in the Contest Blog Post.

 

(c)  Prize.  Each winner will be awarded inclusion of their Submission in the game, as detailed on the Contest Page. No cash or additional compensation is provided. The Prize cannot be transferred, substituted, or redeemed for cash except as determined by the Organizer.

(d)  Credit.  The Organizer will endeavour to credit selected Submissions by the winner’s cats name or username within the game. Winners may request anonymous credit by notifying the Organizer in writing at the time of submission.

  1. WINNER NOTIFICATION 

Selected participants will be notified by email no later than the date indicated on the Contest Page.

  1. RELEASE OF LIABILITY

By entering the Contest, each participant releases the Organizer and its affiliates, shareholders, directors, officers, employees, agents, and partners (collectively, the “Released Parties“) from any and all liability for any loss, harm, damages, cost, or expense arising in whole or in part, directly or indirectly, from:

(a)  the termination, suspension, or modification of the Contest or any Prize;

(b)  the acceptance, possession, use, or misuse of the Prize;

(c)  their participation in the Contest;

(d)  any breach of these Contest Rules;

(e)  the use, modification, adaptation, or non-use of the Submission by the Organizer;

(f)  any actual or potential infringement of third-party intellectual property, privacy, or publicity rights in connection with a Submission; or

(g)  any “moral rights” or unfair competition claims with respect to the Organizer’s exploitation of Submissions.

  1. LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE RELEASED PARTIES BE RESPONSIBLE FOR: (i) LATE, LOST, MISDIRECTED, ILLEGIBLE, INCOMPLETE, OR DAMAGED ENTRIES OR SUBMISSIONS; (ii) ANY TECHNICAL MALFUNCTIONS AFFECTING THE TRANSMISSION OR RECEIPT OF AN ENTRY; (iii) ANY INCORRECT OR INACCURATE INFORMATION ARISING FROM EQUIPMENT, PROGRAMMING, OR HUMAN ERROR IN ADMINISTERING THE CONTEST; OR (iv) ANY CIRCUMSTANCES BEYOND THE ORGANIZER’S REASONABLE CONTROL. NOTHING IN THESE RULES LIMITS PARTICIPANTS’ STATUTORY RIGHTS AS CONSUMERS.

  1. PRIVACY AND PERSONAL INFORMATION

(a)  The Organizer collects and processes personal information provided by participants (including name, username, email address, platform player ID, and social media handle) solely for the purpose of administering the Contest and promoting it on its websites and social media. Personal information will be handled in accordance with applicable data protection law and the Organizer’s Privacy Policy.

(b)  If a participant wins, they agree that the Organizer may publish their username and/or name within the game and in advertising materials in connection with the Contest, in any media now known or hereafter devised, for ten (10) years from the end of the Contest Period.

(c)  Participants may have the right under applicable law to access, correct, or delete their personal data by contacting the Organizer at [privacy contact email].

  1. GENERAL

10.1.  Intellectual property of contest materials.  All Contest-related materials, including promotional content, logos, and web pages, are the exclusive property of the Organizer. Use of such materials without prior written consent is strictly prohibited.

10.2.  Governing lawThese Rules are governed by the laws of Ontario, Canada. Any disputes are subject to the exclusive jurisdiction of the courts of Toronto, Ontario.

10.3.  SeverabilityIf any provision of these Rules is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.

10.4.  LanguageIn the event of any discrepancy between language versions of these Rules, the English version shall prevail.
